1. Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and SkillSpring (“SkillSpring”, “we”, “us”, or “our”) governing your access to and use of the SkillSpring platform, including any related services, applications, and content (collectively, the “Platform”)
By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately.

1. Eligibility

1.1. You must be at least thirteen (13) years of age to access or use the Platform.
1.2. Users under the age of eighteen (18) may only use the Platform under the supervision and consent of a parent or legal guardian where applicable by law.
1.3. By using the Platform, you represent and warrant that you meet all eligibility requirements.

2. Account Registration and Security

2.1. Certain features of the Platform may require registration of an account.
2.2. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
2.3. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
2.4. SkillSpring shall not be liable for any loss or damage arising from unauthorized use of your account.

3. Use of the Platform

3.1. Subject to compliance with these Terms, SkillSpring grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial educational purposes.
3.2. You agree not to:

1. Use the Platform for any unlawful purpose;
2. Interfere with or disrupt the integrity or performance of the Platform;
3. Attempt to gain unauthorized access to any part of the Platform;
* Reverse engineer, decompile, or otherwise attempt to extract source code;
4. Upload or distribute malicious software or harmful content;
5. Impersonate any person or entity or misrepresent your affiliation.

4. Educational Content and Certificates

4.1. All content provided through the Platform is intended strictly for educational and informational purposes.
4.2. Completion of courses or issuance of certificates does not constitute employment, job placement, or income guarantee.
4.3. SkillSpring reserves the right to modify or discontinue any course or content at any time without notice. 

5. Fees, Payments, and Subscriptions

5.1. Certain portions of the Platform may require payment of fees or subscription charges.
5.2. By initiating a transaction, you agree to the pricing, billing frequency, and payment terms presented at the point of purchase.
5.3. All payments are non-refundable except where explicitly stated otherwise or required by applicable law.
5.4. SkillSpring reserves the right to modify pricing at its sole discretion, provided that reasonable notice is given to users where applicable. 

6. Intellectual Property Right

6.1. All intellectual property rights in the Platform, including but not limited to content, branding, design, graphics, software, and course materials, are owned by or licensed to SkillSpring.
6.2. No part of the Platform may be copied, reproduced, distributed, or exploited without prior written consent from SkillSpring.

7. User generated Content

7.1. By submitting or uploading content to the Platform, you grant SkillSpring a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for purposes related to operating, improving, and promoting the Platform.
7.2. You represent that you own or have the necessary rights to any content you submit and that such content does not infringe any third-party rights.

8. Privacy

8.1. Your use of the Platform is also governed by our Privacy Policy, which forms an integral part of these Terms.
8.2. SkillSpring implements reasonable administrative, technical, and physical safeguards to protect user data, though no system can be guaranteed as completely secure.

9. Availability of Services

9.1. SkillSpring does not guarantee uninterrupted or error-free access to the Platform.
9.2. Access may be suspended temporarily for maintenance, updates, or technical reasons without prior notice.

10. Termination

10.1. SkillSpring reserves the right to suspend or terminate your access to the Platform, with or without notice, if you violate these Terms or engage in conduct deemed harmful to the Platform or other users.
10.2. Upon termination, your right to use the Platform shall cease immediately.

11. Disclaimer of Warranties

11.1. The Platform is provided on an “as is” and “as available” basis.
11.2. SkillSpring makes no warranties or representations, express or implied, regarding the accuracy, reliability, or suitability of the Platform for any particular purpose.
11.3. SkillSpring does not guarantee employment outcomes, income generation, or professional success.

12. Limitation of Liability

12.1. To the maximum extent permitted by applicable law, SkillSpring shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Platform.
12.2. In no event shall SkillSpring’s total liability exceed the amount paid by you, if any, for accessing the Platform.

13. Indemnification

You agree to indemnify and hold harmless SkillSpring, its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, or expenses arising from your violation of these Terms or misuse of the Platform.

14. Amendments

SkillSpring reserves the right to revise or update these Terms at any time. Continued use of the Platform after such updates constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
